Innovative Systems, Inc. is a growing global provider of SaaS and on-premise data management, risk, and compliance solutions. As we continue expanding our global footprint, including growth across the MENA and APAC regions, we're looking for an ambitious early-career attorney to join our Legal team .

This is an outstanding opportunity for a new or early-career attorney who wants to build expertise in commercial transactions, SaaS contracting, and data privacy while working closely with business leaders across Sales, Marketing, Revenue Operations, Human Resources, and Operations.

Position Summary

As Assistant Counsel, you will play a key role in supporting the company's commercial contracting process by drafting, reviewing, negotiating, and managing a wide variety of agreements. You'll partner with cross-functional teams to help close customer agreements efficiently while balancing legal risk with business objectives.

Beyond commercial contracts, you'll gain valuable exposure to data privacy, regulatory compliance, vendor management, and other legal initiatives that support a growing international technology business.

What You'll Do
  • Draft, review, negotiate, and manage a variety of commercial agreements, including SaaS, customer, vendor, marketing, partnership, and confidentiality agreements.
  • Lead contract negotiations with prospective customers, clients, vendors, and strategic partners.
  • Collaborate with Sales, Revenue, Marketing, Human Resources, Operations, and Account Management to facilitate timely contract execution.
  • Provide practical legal guidance regarding contract interpretation, risk assessment, applicable laws, regulations, and company policies.
  • Assist with legal initiatives involving data privacy, data protection, GDPR, DORA, and other evolving regulatory requirements.
  • Support vendor contracting and procurement activities across multiple business functions.
  • Help maintain contract records, legal documentation, and internal processes.
  • Serve as a legal resource for internal stakeholders by providing guidance on contracting best practices.
  • Assist with additional legal and compliance projects as assigned.
Required Qualifications
  • Juris Doctor (J.D.) from an accredited law school with license to practice in at least one state, Pennsylvania Bar Membership preferred.
  • 0–3 years of legal experience (recent graduates are encouraged to apply).
  • Excellent written and verbal communication skills.
  • Strong legal research, contract drafting, and analytical abilities.
  • Strong organizational and time management skills with exceptional attention to detail.
  • Ability to manage multiple priorities while meeting deadlines.
  • Sound judgment with the ability to balance legal risk and business objectives.
  • Ability to work both independently and collaboratively in a fast-paced environment.
  • High ethical standards and commitment to maintaining confidentiality.
Preferred Qualifications
  • Experience drafting and negotiating commercial contracts, including SaaS agreements.
  • Experience supporting software licensing or technology transactions.
  • Familiarity with commercial contract negotiations.
  • Knowledge of data privacy and international data protection regulations, including GDPR.
  • Exposure to operational resilience regulations such as DORA.
  • Understanding of international marketing or technology compliance regulations.
  • Experience administering or supporting data protection programs.

Work Environment
This is a hybrid position, with expected work in the office 1-2 days per week, based in Pittsburgh, Pennsylvania.
